1. Description of Service

DarkHorse provides a subscription-based service that offers users access to a dashboard and real-time email alerts regarding publicly filed securities transactions by corporate insiders (e.g., SEC Form 4 filings) and members of the U.S. Congress. The Service is for informational and educational purposes only.

2. No Investment Advice

DarkHorse is not a registered investment advisor, broker-dealer, or financial institution. The Service is not intended to provide, and does not constitute, any investment, financial, legal, tax, or other professional advice.

  • The information, data, and alerts provided through the Service are based on publicly available data and are for informational purposes only.
  • We do not make any personalized recommendations to buy, sell, or hold any security or investment.
  • You are solely responsible for your own investment research and decisions. Any action you take based on information from our Service is done at your own risk.
  • Past performance of any security or trading strategy, whether highlighted on our website or in our research, is not indicative of future results.

3. User Accounts and Subscriptions

To access the Service, you must register for an account and maintain an active paid subscription. You agree to provide accurate and complete information when creating your account.

  • Subscription Fees: Fees for the Service are billed on a recurring basis as described on our pricing page. By providing a payment method (via our third-party payment processor, Stripe), you authorize us to charge the subscription fees.
  • Cancellations: You may cancel your subscription at any time through your account dashboard or by contacting support.
  • No Refunds: All fees are non-refundable. We do not provide refunds or credits for any partial subscription periods. Refund requests may be considered on a case-by-case basis by contacting support@aethnora.com.

4. Data and Content

The Service aggregates data from public sources, including the U.S. Securities and Exchange Commission (SEC) and Congressional disclosure systems. You acknowledge that:

  • We do not guarantee the accuracy, completeness, or timeliness of the data provided. Public filings can contain errors, and data feeds may experience delays.
  • The Service is provided "as is" and "as available." We are not liable for any errors, omissions, or interruptions in the data or the Service itself.

5. Acceptable Use Policy

You agree not to misuse the Service. This includes, but is not limited to, the following:

  • Sharing your account credentials or subscription access with any third party.
  • Reselling, redistributing, or otherwise commercially exploiting the alerts or data provided by the Service.
  • Using any automated system, such as "bots" or "scrapers," to access or collect data from the Service in a manner that exceeds the scope of your subscription.

Violation of this policy may result in the immediate suspension or termination of your account without a refund.

6. Intellectual Property

All content and materials on the DarkHorse website and within the Service, including the logo, design, text, graphics, and software, are the exclusive property of DarkHorse and are protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use during the term of your subscription.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DARKHORSE, ITS OWNERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, CAPITAL, OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) ANY DECISION OR ACTION YOU TAKE BASED ON INFORMATION PROVIDED THROUGH THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless DarkHorse and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Florida.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date" at the top. Your continued use of the Service after any such change constitutes your acceptance of the new Terms.
